Late Payment: If payment is not received by the due date, we reserve the right to suspend access to your course or service until payment is made in full, including any applicable late fees.

Ownership: All content, materials, courses, videos, worksheets, case studies, templates, tools, software, and intellectual property provided through our Services ('Content') are owned or licensed by Gears of Excel and protected by Indian copyright laws and international treaties.

Limitation of Damages: Except where prohibited by law, Gears of Excel's total liability for any claim arising from or relating to these Terms or our Services shall not exceed the amount you paid for the Service in question during the 12 months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Confidential Information: During your engagement with Gears of Excel, you may access proprietary methods, tools, templates, and training content ('Confidential Information'). Termination: We may terminate or suspend your access to our Services immediately, without prior notice, if you violate these Terms. You may terminate your use of the Services at any time, but no refunds will be issued for partially completed courses.

Effect of Termination: Upon termination, your license to use the Content is revoked, and you must cease all use of our Services. Sections 5 (Intellectual Property), 7 (Limitation of Liability), 8 (Confidentiality), 10 (Indemnification), and 14 (Governing Law) survive termination.

You agree to indemnify, defend, and hold harmless Gears of Excel, its founders, directors, employees, agents, and representatives from any and all claims, damages, losses, costs, or expenses (including reasonable attorney fees) arising from:

Grievance Process: If you have any complaint or dispute regarding our Services, please submit a written grievance to us within 30 days of the issue arising. Our grievance redressal team will respond within 7 business days.

Escalation: If the grievance is not resolved to your satisfaction, you may escalate it through our internal escalation process. We aim to resolve all disputes amicably.

Arbitration: In case the dispute cannot be resolved amicably, both parties agree to submit the matter to binding arbitration under the Arbitration and Conciliation Act, 1996, with a single arbitrator to be mutually agreed upon. The seat of arbitration shall be Bangalore, India.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. All matters arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

We reserve the right to modify these Terms at any time. Material changes will be notified to you via email or prominently displayed on our website. Your continued use of our Services following such modifications constitutes your acceptance of the updated Terms.
